1. The application and this agreement

This End-User Licence Agreement governs the use of the internal software integration known as Adgiftdiscounts QuickBooks Sync (the Application).

The Application connects authorised Adgiftdiscounts WordPress, quote, order and supplier workflows with the company's QuickBooks Online account. By accessing or using the Application, an authorised user agrees to this agreement.

2. Licensor

The Application is provided by Adgiftdiscounts Limited, registered in England and Wales under company number 05173778, with its registered office at Adgift House, 11 Stone Lane, New Whittington, Chesterfield, Derbyshire, S43 2DG.

3. Authorised users

The Application is for internal business use by Adgiftdiscounts directors, employees, administrators and authorised contractors who have been given appropriate WordPress and QuickBooks permissions.

It is not offered to the general public. Access may be changed or withdrawn at any time according to role, employment, contract status, security need or business need.

4. Licence

Subject to this agreement, Adgiftdiscounts grants an authorised user a limited, revocable, non-exclusive, non-transferable right to use the Application for legitimate Adgiftdiscounts business purposes.

No ownership right is transferred.

5. Restrictions

An authorised user must not:

• use the Application for another business or connect an unauthorised accounting company;
• share credentials, tokens or access with an unauthorised person;
• bypass role restrictions or security controls;
• introduce malicious code or interfere with the Application or connected services;
• extract or use personal, customer, supplier or accounting data for an unauthorised purpose;
• copy, sell, sublicense or commercially exploit the Application; or
• reverse engineer it except to the limited extent that applicable law does not allow that restriction.

6. Accounts and security

Users must protect their WordPress, Intuit and related credentials, use only their own authorised account and report suspected compromise promptly.

Administrators may log access, mapping, sync attempts, failures and changes for security, audit, support and accounting-integrity purposes.

7. QuickBooks Online and other services

QuickBooks Online is a third-party service provided by Intuit. Use of QuickBooks Online remains subject to the applicable Intuit terms, privacy statements, subscription and permissions. The Application does not create a second QuickBooks company or subscription merely because it connects to an existing company.

Third-party services may change, become unavailable or reject a transaction. Adgiftdiscounts does not control those services and is not endorsed by Intuit merely because it uses Intuit APIs.

8. Data handled by the Application

The Application may read, create, update or match customer companies, customer contacts, suppliers, products and services, quotations, orders, invoices, purchase orders, delivery information, accounting identifiers and sync status.

Users must check warnings and failures and must not assume that an invoice or purchase order exists until the Application confirms successful creation. Personal data is handled as explained in the Adgiftdiscounts Privacy Policy.

9. Intellectual property

Adgiftdiscounts and its licensors retain all intellectual-property rights in the Application, its code, workflow, design and documentation. Intuit and QuickBooks names and marks belong to Intuit or its licensors.

10. Changes, support and availability

We may update, suspend, limit or discontinue all or part of the Application for security, legal, operational or technical reasons. We may require an update before further use.

The Application is provided for internal operational support. No promise is made that it will be uninterrupted or error-free. Users must follow the accounting checks, approval steps and recovery procedures issued by the company.

11. Suspension and termination

This licence ends automatically when a user is no longer authorised. Access may be suspended immediately where we reasonably believe there is a security, compliance, employment or data risk.

On termination, the user must stop using the Application and return or delete locally held confidential information as instructed. Provisions intended to protect data, confidentiality, ownership and liability continue to apply.

12. Liability

Nothing in this agreement excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

To the fullest extent permitted by law, the Application is provided without implied warranties and Adgiftdiscounts is not responsible for loss caused by unauthorised use, ignored failure messages, incorrect source data or an outage or change in a third-party service.

13. General

If a provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver. This agreement does not grant rights to a third party.

14. Governing law

This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, subject to any mandatory law that applies.
